Corporate M&A Associate Attorney

Job Summary

Supporting a growing national corporate practice, the fully remote Corporate M&A Associate Attorney will manage mergers and acquisitions, commercial agreements, and various corporate transactions while collaborating closely with experienced attorneys.

Key responsibilities

• Draft and manage shareholder agreements, LLC operating agreements, and board minutes
• Conduct due diligence and manage closings for mergers and acquisitions
• Engage in public company reporting and assist with debt and equity capital markets transactions

Required qualifications

• 2-4 years of experience in corporate law with a focus on strategic transactions at a top-tier law firm
• Demonstrated leadership in managing aspects of strategic transactions, including due diligence and document drafting
• Proficiency in drafting and identifying key clauses such as anti-sandbagging and indemnity clauses
• Familiarity with regulatory frameworks including Reg D, Rule 144A, and Reg S offerings
• Enthusiasm for expanding skills and thriving in a remote, distributed environment
