Corporate Matters Counsel Manager
Job Summary
Providing legal advice and support on corporate, securities, governance, and compliance matters, the full-time Corporate Matters Counsel Manager will collaborate with executive leadership and various business teams while working remotely.
Key responsibilities:
- Prepare board materials, including resolutions and presentations, for company transactions and meetings
- Provide legal support for SEC filings and manage the preparation of annual proxy statements
- Monitor developments in securities laws and respond to internal inquiries regarding disclosure obligations
Required qualifications:
- J.D. from an accredited law school
- Minimum of 3 years of legal experience in securities compliance and corporate governance
- Experience with international corporate and regulatory compliance issues preferred
- Proven ability to manage multiple projects simultaneously
- Experience in executive compensation and share plan compliance is a plus
