Corporate Securities Attorney

Job Summary

Seeking an experienced Corporate Securities Attorney for a full-time remote engagement to assist a leading biopharmaceutical company with corporate securities matters, including SEC filings, corporate governance, and compliance with U.S. and Dutch laws.

Key responsibilities:

• Collaborate with cross-functional teams to support legal needs and ensure compliance with securities regulations
• Oversee and prepare SEC filings, including 10-Qs, 10-Ks, and proxy statements
• Advise on corporate governance, insider trading issues, and manage FINRA inquiries

Required qualifications:

• 15+ years of legal experience at a law firm and in-house at a publicly traded company, preferably in the life sciences sector
• Strong experience with SEC compliance and corporate governance
• Proven management skills with the ability to develop business-oriented legal teams
• Juris Doctor degree from a U.S. accredited law school and licensed to practice in at least one U.S. state
• Extensive knowledge of relevant laws and regulations affecting public life science companies
