Job Summary

To support a growing Corporate Legal team, the part-time Corporate Securities Attorney will manage SEC reporting, corporate governance, and Board support while working remotely on a contract basis with the potential for permanent placement.

Key responsibilities
  • Own and support SEC reporting, including 10-K, 10-Q, and 8-K filings
  • Serve as the primary drafter of the annual proxy statement and related disclosures
  • Support the Board and its committees with governance documentation and materials
Required qualifications
  • J.D. and active membership in at least one U.S. state bar
  • 10+ years of legal experience focused on corporate securities and SEC disclosure
  • Hands-on experience drafting 10-Ks, 10-Qs, 8-Ks, and proxy statements
  • In-house securities experience at a public company required
  • Strong knowledge of Section 16, insider trading, and equity-related disclosure
