Corporate Securities Counsel

Job Summary

A company is looking for a Legal Counsel, Corporate & Securities to support public company compliance and governance.

Key Responsibilities:

• Support preparation and filing of SEC reports and monitor developments in securities law
• Assist with corporate governance matters, including board support and governance policies
• Support capital markets activities and corporate transactions, including M&A and due diligence

Required Qualifications:

• J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction
• 4+ years of legal experience, ideally with a mix of law firm and in-house experience
• Strong knowledge of U.S. securities laws and public company governance
• Experience with SEC filings for a public company is preferred
• Ability to manage multiple priorities in a fast-paced environment
