Job Summary
Providing specialized legal counsel, the full-time Florida Licensed Assistant General Counsel in Corporate Governance will advise the Board of Directors on governance matters, develop corporate governance policies, and manage Board meeting materials in a remote setting.
Key Responsibilities:
- Provide legal counsel and advisory services to the Board of Directors and its committees on governance frameworks and regulatory requirements
- Develop, review, and update corporate governance policies and documentation to ensure compliance with applicable laws and best practices
- Prepare and manage Board meeting materials, ensuring proper documentation and confidentiality of Board information
Required Qualifications:
- Juris Doctorate degree from an accredited law school with 8-12 years of relevant legal experience
- Admission to at least one state bar, with the ability to be certified in Florida as Authorized House Counsel if admitted elsewhere
- Demonstrated expertise in corporate governance and Board administration
- Strong knowledge of corporate and commercial law, including contract analysis and governance policies
- Experience advising boards of directors or senior leadership on governance and compliance matters
