Licensed Junior Associate Counsel

Job Summary

To provide essential legal support during a maternity leave, the temporary Junior Associate Legal Counsel will work remotely for approximately 4-6 months, focusing on entity formation, due diligence for mergers and acquisitions, contract review, and ensuring compliance with cannabis regulations.

Key Responsibilities:

• Assist with the formation, structuring, and ongoing management of corporate entities
• Support due diligence efforts for potential M&A transactions, including document review and organization
• Review, draft, and negotiate a variety of contracts, including vendor agreements, NDAs, and service agreements

Required Qualifications:

• Juris Doctor (J.D.) degree from an accredited law school
• Licensed to practice law and in good standing in at least one U.S. jurisdiction
• 1-3 years of legal experience, preferably in corporate law or regulatory compliance
• Strong understanding of corporate entity structures and governance
• Proactive, adaptable, and eager to learn in a rapidly changing industry
