M&A Attorney - Minnesota Licensed

Job Summary

A company is looking for an M&A Attorney - Global Transactions to join its in-house legal team on a long-term contract basis.

Key Responsibilities

• Draft and negotiate primary transaction documents and ancillary agreements for complex national and international M&A transactions
• Work closely with the Division GC/Head of M&A on structuring and executing acquisitions, divestitures, joint ventures, and corporate restructurings
• Provide guidance on regulatory and compliance considerations, including antitrust and foreign direct investment issues

Required Qualifications

• 8+ years of sophisticated M&A and corporate transactional experience
• Experience at a top-tier U.S. law firm or M&A boutique, with meaningful in-house experience preferred
• Demonstrated experience working on complex domestic and cross-border transactions
• Strong background advising on regulatory and compliance considerations related to transactions
• Significant drafting and negotiation experience across a broad range of M&A and strategic commercial agreements
