M&A Counsel

Job Summary

Supporting the distributed energy business, the full-time Counsel, M&A Transactions will provide transaction support for solar and storage project acquisitions and sales, assist with due diligence, and collaborate with project development and finance teams, with the possibility of remote work for exceptional candidates.

Key responsibilities

• Provide support to Senior Counsel and Assistant General Counsel on M&A transactions, including drafting and negotiating Membership Interest Purchase Agreements
• Conduct legal due diligence and assess risks associated with acquisitions and development activities in collaboration with internal teams and outside counsel
• Partner with project development and finance teams to support deal execution and negotiate key development agreements

Required qualifications

• 3+ years of experience in M&A or project development
• Top law firm training preferred
• Strong background in renewable energy (solar/storage) M&A and/or project development work
• JD from a top law school preferred
• Membership in at least one state bar
