Job Summary

Supporting the distributed energy business, the full-time Counsel, M&A Transactions will provide transaction support for solar and storage project acquisitions and sales, assist with legal due diligence, and collaborate with project development and finance teams, with the possibility of remote work for exceptional candidates.

Key responsibilities

• Provide M&A transaction support, including drafting and negotiating Membership Interest Purchase Agreements (MIPAs)
• Assist in conducting legal due diligence and identifying risks in solar and battery energy storage portfolios
• Collaborate with project development and finance teams on deal execution and negotiation of key development agreements

Required qualifications

• 3+ years of experience in M&A or project development
• Top law firm training preferred
• Strong background in renewable energy (solar/storage) M&A or project development work
• JD from a top law school preferred
• Membership in at least one state bar
