M&A Legal Counsel

Job Summary

A company is looking for an M&A Legal Counsel (Contract).

Key Responsibilities:

• Conduct and manage legal due diligence, identifying risks and advising on mitigation strategies
• Draft, review, and negotiate M&A-related agreements, including NDAs, LOIs, and purchase agreements
• Liaise with internal stakeholders and regulatory bodies to ensure compliance with laws

Qualifications:

• J.D. from an accredited law school and admission to at least one U.S. state bar
• 5+ years of experience in M&A transactions, preferably in a corporate law firm or in-house legal team
• Strong understanding of corporate structures, deal negotiations, and securities regulations
• Ability to work independently and manage multiple priorities under tight deadlines
• Experience working with cross-functional teams, including finance and business operations
