Job Summary
Providing senior-level legal counsel for mergers and acquisitions, the full-time remote Nebraska Licensed Senior Counsel will lead legal activities throughout the transaction lifecycle, including structuring, due diligence, negotiation, execution, and post-closing integration.
Key responsibilities
- Lead legal workstreams for mergers, acquisitions, and other strategic initiatives, advising on transaction structures and risks
- Draft and negotiate transaction documents, including letters of intent and purchase agreements, while coordinating due diligence efforts
- Manage outside counsel and collaborate with cross-functional teams to ensure timely and effective transaction execution
Required qualifications
- Juris Doctor degree from an accredited law school
- Active admission and good standing with the Nebraska State Bar preferred
- Minimum of five years of relevant legal experience, with at least three years in mergers and acquisitions
- Experience drafting and negotiating complex legal documents related to corporate transactions
- Strong business judgment and ability to manage multiple transactions and priorities effectively
