Job Summary

Supporting a sophisticated transactional practice, the part-time Corporate Attorney will draft, review, and negotiate asset purchase agreements and acquisition agreements while working fully remotely on an ongoing contract basis.

Key Responsibilities

• Draft, review, and negotiate asset purchase agreements, acquisition agreements, and related transaction documents
• Support M&A and corporate transactions from inception through closing
• Provide practical, business-focused legal guidance throughout the transaction process

Required Qualifications

• Active bar license in the state of residence is mandatory
• Significant experience drafting Asset Purchase Agreements (APAs) and/or acquisition agreements
• Strong corporate transactional background, ideally including M&A and business acquisitions
• Ability to independently draft and revise complex transaction documents with minimal oversight
• Substantial hands-on experience preparing and revising acquisition agreements and related transaction documents
