New York Licensed Assistant General Counsel

Job Summary

Supporting the Sales organization, the full-time New York Licensed Assistant General Counsel will draft, review, and negotiate SaaS agreements and related commercial contracts while advising on privacy, security, and intellectual property issues in a hybrid work environment.

Key Responsibilities

• Draft, review, and negotiate various commercial contracts including SaaS agreements, MSAs, and NDAs
• Serve as a primary legal partner to Sales and Client Services teams, providing guidance to facilitate deal progress
• Lead negotiations with customer legal and business stakeholders for enterprise SaaS transactions

Required Qualifications

• J.D. from an accredited law school and active membership in at least one U.S. state bar
• Proven experience in drafting and negotiating SaaS and technology service agreements
• Experience collaborating with Sales, Revenue, and Customer Success teams on commercial transactions
• Strong understanding of key SaaS contract issues, including liability, indemnification, and data protection
• Ability to review and negotiate privacy and cybersecurity provisions in commercial agreements
