New York Licensed Corporate Counsel

Job Summary

A company is looking for a Corporate Counsel to lead the legal function at a high-growth, global SaaS company.

Key Responsibilities

• Provide expert counsel on commercial transactions, corporate governance, compliance, and risk management
• Manage the full lifecycle of customer-facing SaaS contracts and develop scalable contracting frameworks
• Support M&A activities and collaborate with revenue leaders to negotiate strategic deals efficiently

Required Qualifications

• 7-10+ years of legal experience, particularly in B2B SaaS commercial contracting and corporate transactions
• Deep knowledge of SaaS contracting, data privacy, intellectual property, and deal structuring
• Experience working in-house at a scaling tech company, ideally venture-backed
• Ability to create legal infrastructure and processes from the ground up
• Licensed to practice law in the U.S., preferably in NY or CA (or equivalent common law jurisdiction)
