Private Placements Debt Side Attorney

Job Summary

A company is looking for a Contract Attorney specializing in Private Placements on the debt-side, offering 100% remote work.

Key Responsibilities:

• Negotiate NDAs and review legal documents for privately placed corporate debt issuances and private equity investments
• Advise on amendments and assist with closing and funding
• Review and complete subscription agreements, negotiate side letters, and advise on consents and amendments

Qualifications:

• 3+ years of experience with a major law firm or in-house with an insurance company or asset manager
• Expertise in reviewing and negotiating legal documents related to private placements and private equity
• Strong understanding of Note Purchase Agreements, Issues Memoranda, collateral or project documents, and Limited Partnership Agreements
• Ability to provide counsel on problems/issues and recommend changes
• Experience with MFN selections and advising on consents and amendments
