Job Summary

General info:

Part-Time (15-20 hours per week) Transactions and Securities Paralegal needed to support a law firm that focuses exclusively on private placements. A paralegal with securities experience as well as experience drafting PPM (private placement memorandum) is a requirement for this position. The position will grow to Full-Time with the right person.

Job Description:

Support attorneys and clients with work related to private equity and private investment fund sponsors
Prepare documentation related to private investment fund entities (federal and state corporate filings and federal tax registrations), Regulation D and related U.S. federal and state securities ( Blue Sky ) research and compliance, application filings, subscription agreements, subscription agreement tracking for private investment fund offerings
Support attorneys and clients for annual or otherwise ongoing federal and state filings relevant to private investment fund managers
Draft corporate documents including state forms and filings, resolutions, consents, agreements, certificates, merger documents, and corporate records.
Assist in project management with transaction closings, draft closing agendas and checklists, organize closing duties, signatures and closing sets, and post-closing matters
Administer and oversee data rooms and document management
Develop and maintain working relationships with clients to ensure expeditious gathering and organization of facts and information

Qualifications:

Bachelor's Degree or a paralegal certificate required (equivalent work experience may be considered in lieu of degree)
A minimum of three (3) years of securities experience required
Experience or working knowledge with private equity and finance transactions, state and government agencies, entity management and corporate maintenance, due diligence
Ability to navigate work in a fast-paced environment while handling multiple deadlines as an integral member of client service teams to help achieve clients' business objectives
Excellent analytical, writing, and editing skills, high degree of accuracy, and attention to detail
Advanced proficiency with MS Excel, Word, and web-based research
