Remote Securities Counsel

Job Summary

To support a client's legal team, the full-time Remote Securities Counsel will manage securities filings, compliance, and corporate governance, focusing on SEC and state regulatory filings, including Forms 10-K, 10-Q, and 8-K.

Key responsibilities

• Prepare and oversee SEC and state regulatory filings, including registration statements and annual reports
• Provide guidance on executive compensation related to proxy filings and board governance
• Collaborate with the client's AGC - Securities Counsel to ensure compliance and effective corporate governance practices

Required qualifications

• 5+ years of sophisticated legal experience in corporate securities
• Prior experience at an AmLaw 200 law firm or in the corporate legal department of a public company is strongly preferred
• Excellent academic credentials from an accredited law school
• Outstanding references
• Licensed to practice law and in good standing in the state of residence
