Job Summary

A company is looking for a SEC Corporate Governance Attorney.

Key Responsibilities:
  • Prepare and manage SEC filings, including periodic reports, current reports, proxy statements, and securities offerings
  • Provide support to the Board of Directors and its Committees in areas of public disclosures, corporate governance, executive compensation, and other public company obligations
  • Offer legal guidance on equity plan administration, external communications, corporate transactions, and company policies
Required Qualifications:
  • Juris Doctorate degree from an accredited law school
  • Minimum of six years of legal experience with SEC reporting and securities law compliance, including four years with a large law firm
  • Active Bar membership in good standing
  • Proven experience as a legal counsel to business clients
