Job Summary

A company is looking for a Lead Counsel - Securities, Governance and M&A.

Key Responsibilities
  • Prepare and file SEC reports, ensuring compliance and alignment with financial disclosures
  • Lead Board operations, including materials preparation and governance support
  • Support M&A transactions by drafting documentation and coordinating due diligence
Required Qualifications
  • 10+ years of corporate and securities law experience, with significant in-house exposure
  • Deep understanding of '33 and '34 Act reporting and corporate governance practices
  • Experience supporting Boards and governance-related matters
  • Deal experience in M&A, including negotiation of transaction documents
  • JD from an accredited law school and active bar membership in at least one U.S. jurisdiction
