Job Summary
Supporting a collaborative legal team, the full-time remote Securities Counsel will manage board and committee matters, assist with SEC reporting and compliance, and draft high-stakes materials for corporate governance and securities law.
Key responsibilities
- Support the Board of Directors and committees by preparing agendas, minutes, and presentation materials
- Assist with compliance to U.S. securities laws by preparing periodic reports and responding to SEC inquiries
- Draft and manage materials for the Annual Stockholders' Meeting, including proxy statements and related documents
Required qualifications
- Juris Doctor degree from a top-tier law school
- Minimum of 4 years of experience in corporate governance and securities law compliance at a top law firm
- Active bar license in good standing to practice law in the United States
- Proficiency in using AI for legal drafting and document management
- Strong Excel skills for analyzing and reconciling financial data
