Job Summary

A company is looking for a Securities Counsel - SEC & Blue Sky Compliance (Part-Time, Remote).

Key Responsibilities

• Advise clients on securities compliance matters, including private placements and Form D filings
• Conduct Blue Sky analysis for securities issuances across multiple states
• Ensure accurate filings and compliance with federal and state securities laws

Required Qualifications

• 10+ years of legal experience focused on securities law and compliance
• Proven experience with state-by-state Blue Sky analysis and related filings
• J.D. from an accredited law school
• Active bar license in good standing (New York or D.C. preferred)
• Prior experience at a top-tier law firm or highly regarded boutique
