Securities Law Counsel

Job Summary

Providing expert legal counsel, the full-time remote Securities Law Counsel will advise on securities, corporate governance, and compliance matters, supporting SEC filings and corporate governance standards.

Key responsibilities

• Advise on securities law reporting, compliance, and corporate governance matters
• Support SEC filings and reporting activities, including preparation for Board meetings
• Draft, review, and negotiate legal contracts and agreements related to financing and capital markets transactions

Required qualifications

• Juris Doctorate Degree from an A.B.A. accredited law school and bar admission
• At least 12 years of experience as an attorney, with a minimum of 6 years in securities law compliance
• Strong background in Securities Exchange Act of 1934 reporting and stock exchange listing standards
• Superior research and analytical skills
• Proven ability to manage complex legal issues and prioritize multiple assignments
