Senior Corporate Counsel

Job Summary

A company is looking for a Senior Corporate Counsel.

Key Responsibilities

• Design and implement corporate governance frameworks and manage legal workstreams for IPO readiness
• Act as lead legal counsel for M&A, joint ventures, and strategic investments, managing the full deal lifecycle
• Partner with Finance and Tax to support international expansion and manage corporate governance for global subsidiaries

Required Qualifications

• J.D. with 6+ years of experience at a Tier 1 law firm and in-house at a high-growth technology company
• Experience navigating the transition from private to public, ideally with involvement in an IPO or major exit
• Deep expertise in corporate law, SEC reporting, and equity plan management
• Experience managing multinational corporate structures and associated risks
• Ability to provide business-first legal advice and a desire to build a function from scratch
