Senior Corporate Counsel, M&A

Job Summary

A company is looking for a Senior Corporate Counsel, M&A.

Key Responsibilities

• Serve as lead legal advisor on mergers, acquisitions, joint ventures, and other corporate transactions, managing all stages of the transaction lifecycle
• Draft, review, and negotiate transaction documents with an emphasis on efficient, risk-balanced deal execution
• Provide strategic legal advice to senior management regarding M&A strategy, transaction risk, and execution in a public-company environment

Qualifications

• J.D. degree from an accredited law school and admission to at least one U.S. jurisdiction
• 7+ years of relevant legal experience, including training at a leading law firm and in-house experience
• Experience advising on M&A and strategic investments at a U.S. public company or a comparably complex private company
• Experience with entity management for domestic and international subsidiaries strongly preferred
• Experience in the technology sector, including AI infrastructure or related industries, strongly preferred
