Senior Corporate Counsel, Securities Licensed
Job Summary
Partnering with executive leadership, the remote Senior Corporate Counsel, Securities Licensed will oversee corporate governance, SEC compliance, and securities reporting while managing strategic legal initiatives in a fast-paced environment on an 8-month contract with potential for extension.
Key responsibilities
- Lead Board of Directors and committee governance activities, including preparation of materials and documentation
- Oversee SEC filings and manage insider trading compliance and related reporting matters
- Advise leadership on corporate governance and regulatory developments while supporting financing transactions and subsidiary governance
Required qualifications
- Juris Doctor (JD) degree and active U.S. bar license
- 12+ years of corporate legal experience in a law firm and/or public company environment
- Extensive experience with SEC reporting and corporate governance
- Strong knowledge of SEC regulations, Nasdaq listing standards, and Dodd-Frank requirements
- Experience supporting Board matters and managing cross-functional initiatives
