Senior Corporate Paralegal

Job Summary

To support a leading Fintech company, the fully remote Senior Corporate Paralegal will manage subsidiary governance, corporate filings, and securities compliance while collaborating with cross-functional teams and external stakeholders in a fast-paced environment on a 6-month temp-to-perm contract.

Key responsibilities

• Draft and maintain governance materials, including board resolutions and meeting materials, while coordinating governance calendars and filing deadlines
• Oversee the lifecycle of U.S. and international subsidiaries, including formation and dissolution, while preparing necessary documentation
• Support financing transactions and strategic projects by managing due diligence, closing logistics, and compliance with regulatory requirements

Required qualifications

• 10+ years of corporate paralegal experience in a public company legal department
• Bachelor's degree or paralegal certificate from an ABA-approved program
• Strong knowledge of corporate governance, SEC compliance, and entity management
• Excellent communication skills and sound judgment in handling sensitive matters
