Job Summary
Providing legal support across corporate governance, securities compliance, and mergers and acquisitions, the full-time Senior Counsel, Licensed Attorney will work remotely to advise senior management and the Board of Directors while managing compliance and transaction processes.
Key responsibilities
- Advise on corporate governance matters and assist with SEC filings and securities law compliance
- Support domestic and cross-border M&A transactions, including due diligence and document negotiation
- Provide general corporate legal support and assist with special projects involving cross-functional teams
Required qualifications
- J.D. and licensed to practice law in the United States with active membership in a state bar
- 6-9 years of in-house or law firm experience, particularly with M&A transactions and corporate matters
- Strong technical knowledge of securities law and public company reporting
- Experience managing corporate subsidiaries, including international entities
- Proven ability to effectively communicate legal risks and manage outside counsel
