Job Summary

To provide comprehensive legal support in corporate governance, securities compliance, and mergers and acquisitions, the remote Senior Counsel, State Licensed, will manage SEC filings, advise on corporate matters, and support M&A transactions in a full-time salaried capacity.

Key responsibilities

• Advise the Board of Directors and senior management on corporate governance and securities law compliance
• Support domestic and cross-border M&A transactions, including legal due diligence and document negotiation
• Provide general corporate legal support and assist with special projects involving senior management

Required qualifications

• J.D., licensed to practice law in the United States, with active membership in a state bar
• 6-9 years of in-house or law firm experience, particularly in M&A transactions and corporate matters
• Strong technical knowledge of securities law and public company reporting
• Experience managing corporate subsidiaries, including international entities
• Proficient in drafting and negotiating legal documents related to corporate transactions
