Job Summary

A company is looking for an Associate General Counsel, Corporate & Securities.

Key Responsibilities

• Provide legal and strategic counsel on public company securities disclosure, governance, and compliance
• Advise on corporate transactions, including mergers, acquisitions, and capital markets activities
• Support the Board of Directors with governance matters and prepare necessary meeting materials

Required Qualifications

• 12+ years of relevant experience in law, including in-house experience at a publicly traded company
• J.D. or LLM from an accredited law school with active bar membership in at least one US state
• Proven ability to manage complex legal environments and provide sound judgment
• Experience in corporate governance and public company processes
• Strong business judgment and ability to identify legal issues effectively
