State Licensed Associate General Counsel

Job Summary

A company is looking for an Associate General Counsel, Corporate & Securities.

Key Responsibilities

• Provide legal and strategic counsel on corporate transactions, governance, and compliance with public company laws
• Draft and review SEC and NYSE filings, ensuring timely and accurate disclosures
• Support the Board of Directors with governance matters and prepare meeting materials

Required Qualifications

• 12+ years of relevant experience in law, including in-house at a publicly traded company
• J.D. or LLM from an accredited law school with active bar membership in at least one US state
• Experience leading teams and implementing public company processes and governance
• Proven ability to manage complex legal environments with sound judgment
• Strong business judgment and capability to identify legal issues effectively
