State Licensed Associate General Counsel

Job Summary

Seeking a full-time Associate General Counsel, the ideal candidate will serve as the primary in-house legal partner for a renewable energy investment platform, focusing on project acquisitions, commercial contracting, and financing while directly engaging with senior leadership.

Key Responsibilities

• Lead legal support for utility-scale project acquisitions, including diligence, transaction structuring, negotiation, and closing
• Draft and negotiate various project agreements, including letters of intent, purchase agreements, and EPC contracts
• Advise on legal risks and translate them into commercially practical recommendations for senior leadership

Required Qualifications

• 7-10+ years of legal experience with a focus on utility-scale renewable energy
• Direct experience in drafting and negotiating project acquisition and infrastructure agreements
• Strong understanding of project documentation related to development, construction, and financing
• Experience managing outside counsel while retaining internal ownership of transaction strategy
• Active license and good standing in at least one U.S. jurisdiction
