State Licensed Corporate Counsel

Job Summary

Supporting commercial contracting across select portfolio companies, the full-time Senior Corporate Counsel will negotiate enterprise software transactions and collaborate with sales and business leaders in a fast-paced environment.

Key responsibilities

• Draft, review, and negotiate a variety of commercial agreements, including enterprise software licenses and cloud services agreements
• Advise business stakeholders on contract structure, risk allocation, and negotiation strategy while managing multiple concurrent negotiations
• Collaborate with cross-functional teams to resolve commercial issues and assist with disputes, working with external counsel as needed

Required qualifications

• 7+ years of relevant legal experience, particularly in negotiating enterprise software agreements
• Familiarity with enterprise software licensing models, including subscription and on-premise structures
• Prior in-house or law-firm experience representing software or technology companies preferred
• Strong contract drafting and negotiation skills with the ability to identify legal risks
• Active membership in a relevant Bar association
