Job Summary
To support a corporate legal team, the part-time Corporate Securities Counsel will manage SEC reporting, corporate governance, and Board support in a remote setting, with a potential transition to a permanent position after an initial three-month contract.
Key responsibilities
- Own and support SEC reporting, including 10-K, 10-Q, and 8-K filings
- Serve as the primary drafter of the annual proxy statement and related disclosures
- Manage compliance with Section 16, insider trading, and Rule 10b5-1 regulations
Required qualifications
- J.D. and active membership in at least one U.S. state bar
- 10+ years of legal experience focused on corporate securities, SEC disclosure, and public company governance
- Hands-on experience drafting 10-Ks, 10-Qs, 8-Ks, and proxy statements
- In-house securities experience at a public company required
- Experience supporting a public company Board and Board committees
