State Licensed General Counsel

Job Summary

Managing the full lifecycle of customer and vendor agreements, the remote State Licensed General Counsel will draft, review, and negotiate a high volume of SaaS agreements while collaborating with cross-functional teams to align legal and commercial objectives.

Key responsibilities

• Draft, review, and negotiate various SaaS agreements including MSAs, NDAs, and partner agreements
• Manage the contract lifecycle from negotiation through execution, ensuring compliance and alignment with business goals
• Advise on legal and commercial concerns, focusing on risk management and deal progression

Required qualifications

• Active license to practice law in at least one US jurisdiction
• Minimum of 5 years of relevant experience in commercial contracting, with 6-10 years preferred
• Deep knowledge of SaaS contract structures and subscription models
• Strong experience in drafting, reviewing, and negotiating a wide range of commercial agreements
• Proven ability to collaborate with cross-functional teams and manage competing priorities effectively
