Job Summary

To support sophisticated private company merger and acquisition transactions, the remote temporary Corporate M&A Associate will draft, review, and negotiate transaction documents, focusing on Stock Purchase Agreements (SPAs) and Asset Purchase Agreements (APAs), while managing multiple concurrent transactions.

Key responsibilities
  • Draft, review, and negotiate transaction documents, including SPAs, APAs, Letters of Intent (LOIs), and Confidentiality Agreements (NDAs)
  • Conduct legal due diligence and identify legal risks associated with acquisitions and divestitures
  • Coordinate with internal stakeholders, clients, and external counsel to facilitate transaction execution
Required qualifications
  • J.D. (or equivalent law degree) and active license to practice law in at least one US jurisdiction
  • Approximately 5+ years of strong experience supporting private M&A transactions
  • Demonstrated experience drafting and negotiating Stock Purchase Agreements (SPAs) and Asset Purchase Agreements (APAs)
  • Experience with mergers, acquisitions, divestitures, restructurings, and related corporate transactions
  • Strong understanding of corporate law principles and transaction structures
