Temporary Corporate Counsel
Job Summary
Providing legal support for SEC disclosures, the temporary part-time Corporate and Securities Counsel will advise senior executives on corporate and securities matters while working remotely.
Key responsibilities
- Draft and counsel on SEC, NYSE, and other securities filings, including periodic reports and proxy statements
- Assist with corporate compliance regarding securities laws and NYSE regulations, and oversee the insider trading compliance program
- Support the Audit Committee by preparing meeting materials and providing legal advice on governance and financial transactions
Required qualifications
- Juris Doctor and U.S. state bar admission
- Minimum of 4+ years of legal experience with a law firm and/or as in-house counsel
- Experience in corporate drafting, including resolutions and governance documents
- Knowledge of corporate, business, and financial transactions, as well as securities laws
- Demonstrated abilities in complex financings or regulatory experience related to investment advisers or insurance companies
