Job Summary
To support a collaborative legal team, the remote Sr. Corporate Counsel - Securities will manage board and committee matters, assist with SEC reporting and compliance, and draft high-stakes materials for executive-level clients.
Key responsibilities
- Support the Board of Directors and committees by preparing agendas, minutes, and presentation materials
- Assist with compliance to U.S. securities laws, including preparation of periodic reports and responding to SEC inquiries
- Draft and review materials for the Annual Stockholders' Meeting, including the annual proxy statement and related documents
Required qualifications
- Law degree from a top-tier law school
- At least 4 years of corporate governance and securities law compliance experience
- Licensed in good standing to practice law in the United States
- Proficiency in using AI for legal drafting and document management
- Strong Excel skills for analyzing financial and disclosure data
