Texas Licensed Assistant General Counsel

Job Summary

Leading strategic transactions, the full-time remote Director & Assistant General Counsel, Strategic Transactions and Corporate will provide legal advice on M&A, corporate ventures, and capital markets while collaborating with cross-functional teams to drive corporate development initiatives.

Key responsibilities

• Serve as the legal lead for all strategic transactions, from inception to execution, including M&A and corporate financing
• Advise executives on high-visibility matters, aligning legal strategies with corporate growth objectives
• Manage outside counsel budgets and performance, ensuring effective legal representation across complex transactions

Required qualifications

• 12+ years of relevant experience in M&A, venture, and corporate law, preferably in a SaaS or technology setting
• Active and in good standing with the state bar or eligible to register as in-house counsel
• Strong understanding of public company accounting, corporate finance, and tax matters
• Exceptional business acumen and judgment in handling sensitive information
• Demonstrated ability to influence stakeholders and navigate a dynamic workplace effectively
