Job Summary

To support Procore's legal strategy, the full-time remote Director & Assistant General Counsel, Strategic Transactions and Corporate will lead M&A, corporate venture, and capital markets transactions while providing legal advice to cross-functional teams and managing organizational risk.

Key responsibilities

• Lead Procore's strategic transactions, including M&A and corporate financing, from inception to closing
• Advise executives on high-visibility legal matters, aligning legal strategy with corporate growth objectives
• Establish operational frameworks and manage outside counsel budgets for effective legal representation

Required qualifications

• 12+ years of relevant experience in M&A, venture, and corporate law at prominent law firms or in-house legal departments
• Active and in good standing with the state bar where the position is located or eligible to register as in-house counsel
• Strong functional knowledge of public company accounting, corporate finance, and tax matters
• Demonstrated ability to navigate a dynamic workplace and influence stakeholders effectively
• Experience or strong interest in leveraging AI technologies to enhance productivity
