Job Summary

Serving as the legal architect for corporate development initiatives, the full-time remote Director & Assistant General Counsel, Strategic Transactions and Corporate will manage M&A, corporate venture investments, and capital markets transactions while providing strategic legal advice to executives and cross-functional teams.

Key responsibilities

• Lead Procore's strategic transactions, including M&A and corporate financing, from inception to execution
• Advise executives on high-visibility legal matters, aligning legal strategy with corporate growth objectives
• Establish operational frameworks and manage outside counsel budgets to ensure effective legal representation

Required qualifications

• 12+ years of relevant experience in M&A, venture, and corporate law, preferably in a SaaS or technology environment
• Active and in good standing with the state bar where the position is located or eligible for in-house registration
• Strong business acumen and discretion in handling sensitive information
• Functional knowledge of public company accounting, corporate finance, and tax matters
• Experience or interest in leveraging AI technologies to enhance productivity and efficiency
