Virginia Licensed Commercial Counsel

Job Summary

Seeking a Virginia Licensed Commercial Counsel, the hybrid position will manage the commercial contract process for SaaS customer agreements, including drafting, reviewing, and negotiating contracts for Fortune 1000 clients, while collaborating closely with the Sales team and reporting to the VP, Deputy General Counsel, Commercial.

Key responsibilities

• Review, interpret, draft, revise, and negotiate customer and vendor contracts domestically and internationally
• Anticipate legal issues and effectively resolve sensitive legal projects while managing post-signing contract amendments and support
• Collaborate with various business functions to drive deal negotiations and maintain compliance with legal and policy standards

Required qualifications

• 5-8+ years of experience, including 2+ years supporting sales teams with Enterprise-level Corporate Contracts, specifically in SaaS
• J.D. degree from an accredited law school and admission to a State Bar
• Working knowledge of commercial contract terms, particularly regarding intellectual property and risk management
• Proficiency with Salesforce.com, Ironclad, or other CLM tools, along with experience in utilizing AI tools in legal processes
• Ability to prioritize tasks and work effectively in a deadline-oriented environment
