Washington Licensed Corporate Attorney

Job Summary

To support its corporate group, a full-time remote Washington Licensed Corporate Attorney will focus on representing emerging growth companies and institutional investors, handling venture capital financings, M&A transactions, and corporate governance matters.

Key responsibilities

• Manage and oversee venture capital financings and M&A transactions while ensuring compliance with corporate governance standards
• Mentor and supervise junior lawyers and staff, fostering positive relationships and anticipating clients' needs
• Produce timely and accurate legal deliverables, effectively communicating with clients and colleagues to meet deadlines

Required qualifications

• Juris Doctor (JD) degree
• 5-8 years of experience in Emerging Growth/Venture Capital, preferably with AmLaw 100 firms
• Familiarity with standard emerging growth and venture capital forms, including NVCA and Y Combinator
• Experience in negotiating and managing preferred stock financings and conducting due diligence on M&A transactions
• Proven ability to advise clients on various corporate governance matters
