Job Summary

Seeking a West Virginia Licensed Junior Associate, the full-time career associate will work onsite in Wheeling, WV, with remote options available from the Pittsburgh, PA area, focusing on fund formation matters such as drafting and reviewing limited partnership agreements and private placement memoranda while collaborating closely with partners and senior associates.

Key responsibilities

• Draft and review legal documents related to fund formation, including limited partnership agreements and subscription documents
• Collaborate with partners and senior associates on various fund formation matters and regulatory compliance
• Engage in both sponsor-side and investor-side representations to support a diverse range of clients

Required qualifications

• J.D. from an accredited law school
• 1-2 years of relevant legal experience, preferably in transactional work
• Active bar membership or eligibility for prompt admission in West Virginia or Pennsylvania
• Strong academic credentials with coursework or interest in securities regulation, investment management, or corporate law
• Genuine interest in a long-term career in private fund formation
