Arizona Licensed Corporate Counsel

Job Summary

To support emerging and high-growth companies, the full-time Arizona Licensed Corporate Counsel will advise on corporate governance, entity formation, and strategic transactions while working remotely in a direct hire or contract-to-hire capacity.

Key responsibilities

• Advise clients on corporate governance, entity formation, and organizational structuring
• Draft, review, and negotiate a variety of corporate and commercial agreements
• Support capitalization, equity, financing, and investment-related transactions

Required qualifications

• J.D. from an accredited law school
• Active U.S. bar membership with Arizona licensure or ability to waive into Arizona preferred
• 5-7 years of corporate law experience
• Strong experience with entity formation, governance, financings, and commercial contracts
• Ability to independently manage legal matters and interact directly with business leaders
