Assistant General Counsel, Commercial Contracts

Job Summary

Managing AI, data, and IP terms in commercial agreements, the full-time remote Assistant General Counsel, Commercial Contracts will draft and negotiate contract language, advise on compliance with privacy and security requirements, and support Sales and Client Success teams in closing deals.

Key responsibilities

• Own AI provisions in agreements, including data rights, model ownership, and risk allocation
• Translate privacy and compliance requirements into contract terms and negotiate relevant agreements
• Draft and negotiate a variety of commercial contracts, ensuring alignment with business objectives

Required qualifications

• JD from an accredited law school and active membership in at least one U.S. state bar
• 8+ years of commercial contracting experience, with significant in-house exposure
• Proven expertise in AI and data rights provisions in commercial agreements
• Strong knowledge of HIPAA and health data privacy regulations
• Substantive experience in intellectual property within a software or data context
