Job Summary
To support corporate legal functions, the full-time California Licensed Corporate Counsel will manage SEC reporting, corporate governance, and strategic transactions while working remotely or in a hybrid capacity from South San Francisco, CA.
Key responsibilities
- Draft and review SEC filings and public company disclosures, including Forms 10-K, 10-Q, and proxy statements
- Advise on corporate governance matters and support Board and committee processes
- Negotiate and draft agreements related to strategic partnerships, M&A, and other corporate transactions
Required qualifications
- J.D. from an accredited law school and membership in good standing in at least one U.S. state bar; California bar admission or eligibility required
- At least 12 years of relevant corporate/securities experience, preferably in a law firm or in-house legal department
- Significant experience with SEC reporting, corporate governance, and proxy statements
- Experience in drafting and negotiating corporate agreements, particularly in strategic partnerships and M&A
- Preferred experience in the life sciences, biotechnology, or pharmaceutical industry
