Commercial Counsel - Remote

Job Summary

Bringing a proactive approach to complex SaaS and technology transactions, the full-time Commercial Counsel - Remote will negotiate a variety of commercial contracts, collaborate with cross-functional teams, and support the business in navigating legal challenges while working remotely.

Key responsibilities

• Negotiate and draft software licenses, NDAs, data processing agreements, and various commercial contracts
• Advise on legal matters including indemnities, intellectual property rights, and privacy obligations while managing concurrent negotiations
• Collaborate with Sales, Product, Finance, and other departments to structure solutions and support timely deal closures

Required qualifications

• Juris Doctor (J.D.) or equivalent law degree with active admission to practice law in at least one jurisdiction
• Minimum 5 years of experience in commercial and technology transactional law, particularly B2B SaaS agreements
• Strong skills in contract drafting, negotiation, and knowledge of technology licensing and privacy matters
• Ability to work independently and prioritize competing deadlines while collaborating with cross-functional teams
• Preferred experience in AI or generative AI contracting and global commercial negotiations
