Corporate Counsel

Job Summary

To support a growing portfolio of companies, the part-time contract Corporate Counsel will manage routine corporate and commercial legal matters, draft and negotiate contracts, and maintain organized corporate records while working remotely, preferably from the San Francisco Bay Area.

Key responsibilities

• Support company formations, governance, and corporate housekeeping across the portfolio
• Draft, review, and negotiate various commercial contracts, ensuring efficient workflow
• Assist with fundraising and transactions, coordinating with investors and external counsel

Required qualifications

• 4+ years of legal experience, particularly in corporate and commercial matters
• In-house experience at a startup or venture-backed company is strongly preferred
• Ability to independently manage routine-to-moderate legal issues
• Strong organizational skills and a practical, business-oriented approach to legal work
• Experience with corporate governance, equity, and ongoing corporate workflows
