Corporate Counsel

Job Summary

To support a growing telehealth practice, the full-time Corporate Counsel will manage corporate governance, entity management, and compliance across subsidiaries while working remotely.

Key responsibilities

• Own subsidiary governance and corporate hygiene, including organizational documents and state registrations
• Draft and maintain intercompany agreements and support capitalization table accuracy
• Manage corporate diligence for financings and M&A transactions, including data rooms and closing documentation

Required qualifications

• Juris Doctor (JD) from an ABA-accredited law school with an active license to practice in at least one U.S. jurisdiction
• 4-6 years of corporate law experience from a law firm or in-house legal team, preferably with corporate or emerging companies/venture capital training
• Hands-on experience with entity governance and corporate maintenance for multi-entity organizations
• Working knowledge of cap tables, equity issuances, and board governance mechanics
• Experience supporting financings and M&A, including diligence and post-closing clean-up
